Terms of Service

Welcome to QBO Link. These Terms of Service ("Terms") govern your use of the QBO Link application and services ("Service") provided by MLD Logic, Inc. ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using QBO Link, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

QBO Link is a data integration tool that facilitates the import of IIF (Intuit Interchange Format) files from any legacy accounting system into QuickBooks Online. The Service provides:

  • OAuth-based secure connection to QuickBooks Online
  • IIF file parsing and validation
  • Data transformation and import to QuickBooks Online
  • Export and template generation features

3. Account and Access

To use QBO Link, you must:

  • Have a valid QuickBooks Online account
  • Authorize QBO Link to access your QuickBooks Online data
  • Maintain the security of your QuickBooks Online credentials
  • Be authorized to manage the QuickBooks Online company file you connect

4. Permitted Use

You agree to use QBO Link only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to transmit any malicious code or harmful data
  • Attempt to gain unauthorized access to our systems or other users' data
  • Use the Service in any manner that could damage, disable, or impair the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated systems or software to extract data from the Service

5. Data and Privacy

Your use of QBO Link is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy.

6. QuickBooks Online Integration

QBO Link integrates with QuickBooks Online through Intuit's official API. You acknowledge that:

  • Your use of QuickBooks Online is subject to Intuit's terms of service
  • We are not affiliated with, endorsed by, or sponsored by Intuit Inc.
  • QuickBooks and QuickBooks Online are trademarks of Intuit Inc.
  • API availability and functionality are subject to Intuit's policies

7. Data Accuracy and Responsibility

You are solely responsible for:

  • The accuracy and completeness of data you upload to QBO Link
  • Reviewing and verifying data before importing to QuickBooks Online
  • Maintaining backups of your QuickBooks Online data
  • Ensuring compliance with applicable accounting and tax regulations

We recommend using the Preview feature to review all data before importing and maintaining regular backups of your QuickBooks Online company file.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MLD LOGIC, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESS TO THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless MLD Logic, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

11. Modifications to Service and Terms

We reserve the right to modify, suspend, or discontinue the Service at any time without notice. We may also update these Terms from time to time. Continued use of the Service after any changes constitutes acceptance of the modified Terms.

12. Subscriptions and Billing

12.1 Subscription Plans

QBO Link is offered as a subscription service with two billing options: monthly ($29/month) and annual ($290/year). All plans include the same features and full access to the Service.

12.2 Free Trial

New subscribers receive a 14-day free trial. During the trial period, you have full access to all features. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan at the rate of the plan you selected at sign-up. You will not be charged during the trial period.

12.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled. Monthly subscriptions renew each month; annual subscriptions renew each year. You will be charged the then-current rate at renewal.

12.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service through the end of your current billing period. No partial refunds are provided for unused time within a billing period.

12.5 Payment Processing

All payments are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for all subscription transactions. By subscribing, you also agree to Paddle's Terms of Use and Privacy Policy. QBO Link does not directly process, store, or have access to your payment card information.

12.6 Refunds

Refund requests are handled in accordance with Paddle's refund policy. If you believe you are entitled to a refund, please contact us at support@makelegaldocs.com and we will work with you to resolve the issue.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Florida.
